AADM.tech — Terms & Conditions

Welcome to AADM.tech ("AADM", "we", "us", or "our").

By requesting, contracting, accessing, or using AADM services, the client ("Client", "you", or "your") agrees to these Terms & Conditions.

These Terms establish the general conditions applicable to AADM's professional technology services. Specific projects may be governed by a separate proposal, quotation, statement of work, work order, service agreement, or other written agreement accepted by both parties.

1. Scope of Services

AADM.tech provides professional technology, data, automation, business intelligence, artificial intelligence, CRM, integration, and IT infrastructure services.

Depending on the project, services may include, but are not limited to:

Data & Business Intelligence

  • Business intelligence and analytics solutions

  • Power BI and Looker Studio dashboards

  • KPI systems and management reporting

  • Data analysis and visualization

  • Data modeling and data transformation

  • SQL databases and analytical data platforms

  • Data Warehouses and Data Marts

  • ETL / ELT pipelines

  • Data quality and validation

  • Integration of spreadsheets, databases, APIs, SaaS platforms, and business systems

Process Automation

  • Business process automation

  • Workflow automation

  • Python-based automation

  • n8n and workflow orchestration

  • API integrations

  • Automated reporting

  • Data synchronization

  • Document and approval workflows

  • Notifications and scheduled processes

CRM & Lead Automation

  • CRM implementation and configuration

  • Lead capture and qualification

  • Lead scoring and routing

  • Sales pipeline automation

  • Marketing automation

  • Forms and landing page integrations

  • CRM and ERP integrations

  • WhatsApp Business integrations and automation

  • Customer communication workflows

AI & Intelligent Automation

  • AI assistants

  • AI-powered workflows

  • Retrieval-Augmented Generation (RAG)

  • Document processing

  • AI-assisted customer support

  • Intelligent data processing

  • Integration of AI services with business applications

Cloud & IT Infrastructure

  • Linux server configuration

  • Docker environments

  • NAS and private storage solutions

  • TrueNAS deployments

  • Backup infrastructure

  • Network configuration

  • VPN and remote access

  • Monitoring and infrastructure automation

  • Cloud and VPS environments

  • Cloud cost optimization

  • CCTV storage infrastructure

  • Systems integration

The specific services, deliverables, technologies, timeline, and responsibilities applicable to each project will be defined in the corresponding proposal, quotation, work order, or written agreement.

Any activity, requirement, feature, integration, or deliverable not expressly included in the agreed scope may be treated as additional work and may require a separate quotation.

2. Work Modality

AADM services may be provided through:

  • Remote

  • On-site / In-person

  • Hybrid

The applicable work modality will depend on the nature of the project, the Client's location, technical requirements, infrastructure requirements, and the agreed scope of work.

Remote services may include:

  • Data analysis

  • Business intelligence

  • Dashboard development

  • Automation

  • CRM configuration

  • API integrations

  • Cloud services

  • Software configuration

  • Technical consulting

  • Monitoring

  • Remote support

On-site services may include:

  • Server installation

  • NAS implementation

  • Network infrastructure

  • CCTV infrastructure

  • Physical equipment installation

  • Rack and cabling work

  • On-site troubleshooting

  • Infrastructure maintenance

Hybrid services

Projects may combine remote and on-site activities when required.

Travel, transportation, accommodation, on-site expenses, or other location-related costs may be quoted separately when applicable.

3. Client Responsibilities

The Client agrees to provide, when required:

  • Accurate and complete information

  • Necessary technical documentation

  • Authorized credentials and access

  • API keys and permissions

  • Access to relevant systems and platforms

  • Access to facilities and equipment for on-site work

  • Authorized technical contacts

  • Required licenses or third-party subscriptions

  • Timely feedback and approvals

AADM will not be responsible for delays, interruptions, or additional costs resulting from incomplete information, unavailable access, incorrect credentials, unavailable infrastructure, or delays caused by the Client or third parties.

The Client is responsible for ensuring that AADM receives only authorized access and information.

4. Platforms, Software & Third-Party Services

AADM may configure, integrate, or operate platforms and services provided by the Client or by third parties.

These may include, among others:

  • Odoo

  • Microsoft services

  • Google services

  • AWS

  • Azure

  • Cloudflare

  • WhatsApp Business

  • OpenAI and other AI providers

  • CRM platforms

  • SaaS applications

  • Hosting providers

  • Internet service providers

  • Payment platforms

  • External APIs

Third-party software, APIs, cloud services, hosting providers, SaaS platforms, licenses, and infrastructure are governed by their respective providers' terms, policies, limitations, pricing, warranties, and availability.

AADM does not guarantee the availability, continuity, pricing, performance, or future compatibility of third-party services.

AADM is not responsible for outages, API changes, account suspensions, policy changes, rate limits, service discontinuation, or other failures caused by third-party providers.

5. Data & Information

AADM may process business, operational, technical, or other information provided by the Client for the purpose of delivering the contracted services.

The Client remains responsible for ensuring that it has the necessary rights, permissions, consents, and legal basis to provide such information to AADM and to authorize its processing.

AADM will apply reasonable technical and organizational measures appropriate to the nature of the services being provided.

AADM is not responsible for the accuracy, completeness, legality, availability, or integrity of data originating from systems or sources that are not directly controlled by AADM.

6. Confidentiality

AADM agrees to maintain the confidentiality of confidential technical, operational, commercial, and business information received from the Client in connection with the provision of services.

Confidential information will not be intentionally disclosed to unauthorized third parties except when:

  • Required by law;

  • Necessary to provide the contracted service;

  • Authorized by the Client; or

  • Required for the operation of third-party services explicitly approved by the Client.

The confidentiality obligations survive termination of the service relationship.

7. Intellectual Property

Unless otherwise agreed in writing:

Client ownership

After full payment has been received, project-specific deliverables created specifically for the Client become the Client's responsibility and may be used by the Client according to the agreed scope.

AADM ownership

AADM retains ownership of:

  • Pre-existing software

  • Internal tools

  • Reusable scripts

  • Frameworks

  • Templates

  • Libraries

  • Automation components

  • Generic workflows

  • Methodologies

  • Know-how

  • Reusable technical architectures

  • Development patterns

AADM may reuse general-purpose technical knowledge, methodologies, and non-confidential components developed during projects, provided that Client confidential information is not disclosed.

8. Access & Security

AADM may retain administrative or technical access to systems during the execution of a project when necessary for maintenance, monitoring, troubleshooting, or implementation.

The Client agrees not to modify critical configurations during the implementation of a project without prior coordination when such modifications could affect the contracted service.

After project completion, access credentials may be transferred, revoked, or managed according to the agreed project requirements.

The Client remains responsible for maintaining appropriate security practices for accounts, credentials, devices, networks, and third-party services under its control.

9. Support & Maintenance

Technical support, monitoring, maintenance, and ongoing operational assistance are not included in one-time project fees unless expressly stated in the applicable proposal or agreement.

AADM may offer recurring services such as:

  • Automation maintenance

  • Dashboard maintenance

  • CRM support

  • Infrastructure maintenance

  • Server monitoring

  • Backup monitoring

  • Data pipeline monitoring

  • Technical support

  • SLA-based services

Recurring services are subject to their respective service plans, scope, fees, availability, and response times.

Requests outside the agreed maintenance scope may be quoted separately.

10. Service Levels (SLA)

When an SLA is expressly contracted, the applicable response times, support hours, covered systems, priorities, exclusions, and escalation procedures will be defined in the corresponding SLA or service agreement.

Unless otherwise agreed, SLA services do not guarantee resolution within a specific time.

Resolution times may depend on:

  • Incident complexity

  • Client availability

  • Access availability

  • Third-party providers

  • Hardware availability

  • Internet connectivity

  • Cloud services

  • External dependencies

SLA services do not cover unauthorized modifications, third-party failures, new implementations, or changes outside the contracted scope.

11. Fees & Payment

Payment terms will be defined in the applicable proposal, quotation, or agreement.

Unless otherwise agreed:

  • 50% of the project value is required before work begins.

  • The remaining balance may be paid against agreed milestones or upon completion.

  • Short projects may require full payment before delivery.

  • Hardware, equipment, licenses, subscriptions, and physical products must generally be paid 100% in advance before purchase or provisioning.

  • Additional work outside the agreed scope must be approved before execution.

  • Additional work may require advance payment.

Accepted payment methods may include:

  • Bank transfer

  • Bank deposit

  • Digital payment platforms

  • Credit or debit cards

  • Other payment methods made available by AADM

Payment processing fees, taxes, transaction fees, or third-party charges may apply where applicable.

12. Cancellation

If a Client cancels a project after work has started, amounts already paid may be non-refundable to the extent that they cover:

  • Technical work already performed

  • Analysis

  • Planning

  • Development

  • Reserved capacity

  • Purchased services

  • Non-refundable third-party costs

  • Operational expenses

The specific cancellation conditions may be defined in the applicable proposal or agreement.

13. Diagnosis & Technical Consulting

Technical diagnosis, architecture analysis, audits, technical assessments, system analysis, and preparation of detailed technical proposals may constitute independent professional services.

When applicable, these services may carry a separate fee.

Unless otherwise agreed, a diagnostic or consulting fee is not refundable.

A diagnostic fee may be credited toward a subsequent implementation project if explicitly stated in the applicable proposal.

14. Warranties & Limitation of Liability

AADM will perform the contracted services using reasonable professional practices and within the agreed scope.

AADM does not guarantee specific business results, including:

  • Increased sales

  • Increased conversion rates

  • Specific financial returns

  • Specific cost savings

  • Increased productivity

  • Specific marketing performance

  • Specific AI performance

  • Specific customer acquisition results

Business outcomes depend on factors outside AADM's control.

AADM is not responsible for failures, interruptions, or losses resulting from:

  • Client misuse

  • Unauthorized modifications

  • Incorrect information

  • Pre-existing infrastructure limitations

  • Hardware failures

  • Internet outages

  • Power failures

  • Cloud provider failures

  • SaaS provider failures

  • API changes

  • Third-party service interruptions

  • External security incidents

  • Force majeure events

To the extent permitted by applicable law, AADM will not be liable for indirect, incidental, consequential, or business losses arising from the use of the services.

15. Infrastructure & Hardware

When AADM provides or installs physical infrastructure, including servers, NAS systems, networking equipment, CCTV storage, racks, or other hardware:

  • Hardware costs are separate from professional service fees unless explicitly included.

  • Hardware purchases may require full advance payment.

  • Hardware warranties are provided by the respective manufacturer or supplier.

  • AADM does not replace manufacturer warranties.

  • Installation does not guarantee the absence of future hardware failures.

  • Existing infrastructure may have limitations that affect performance or reliability.

The Client is responsible for providing adequate physical conditions, power, environmental conditions, and authorized access for on-site installations.

16. Changes & Scope Management

Any change to the original requirements may affect:

  • Cost

  • Timeline

  • Technical architecture

  • Deliverables

  • Dependencies

Changes may require a new quotation, change request, or written approval before implementation.

AADM is not required to implement material changes outside the agreed scope without prior approval.

17. Project Completion

A project will be considered completed when the agreed deliverables have been implemented and made available to the Client according to the applicable scope.

Minor adjustments or corrections related to the original agreed scope may be addressed during the agreed review period, if applicable.

New functionality, new integrations, additional reports, new requirements, or material changes are considered additional work unless expressly included in the original scope.

18. Termination of Services

AADM may suspend or terminate a service when:

  • The Client fails to provide required access or information.

  • The Client fails to make required payments.

  • There are significant technical, security, or legal risks.

  • The Client uses the service in an unlawful or abusive manner.

  • Unauthorized modifications compromise the service.

  • Third-party dependencies make continued service impractical.

The Client may terminate a service subject to the conditions established in the applicable project agreement.

Outstanding amounts for work already performed remain payable.

19. Compliance & Acceptable Use

AADM services must not be used for unlawful activities, unauthorized access, fraud, abuse, malicious activity, or violation of third-party rights.

The Client is responsible for ensuring that its use of AADM services complies with applicable laws, regulations, platform policies, and contractual obligations.

Where services involve data collection, scraping, messaging, automation, AI, or third-party APIs, the Client is responsible for ensuring that the intended use is legally and contractually permitted.

20. Changes to These Terms

AADM may update these Terms & Conditions when necessary to reflect changes in services, technology, business operations, or legal requirements.

The latest version published through AADM's official website will supersede previous versions for new engagements.

Existing projects will generally remain governed by the terms agreed upon at the time of contracting unless otherwise agreed.

21. Acceptance

By requesting, contracting, approving, or using AADM services, the Client acknowledges that they have read, understood, and accepted these Terms & Conditions together with the specific terms defined in the applicable proposal, quotation, work order, SLA, or service agreement.
